Governance Charter

  1. Purpose

This Charter defines the governance structure, authority, and operating principles of CAGI. It establishes how decisions are made, who holds authority, and how independence and accountability are preserved.

CAGI operates under the following principles:

  • Independence from commercial and political control
  • Evidence-led decision making
  • Transparency and accountability
  • Anticipatory governance focused on plausible futures
  • Global consistency with local adaptability

 

  1. Governance Structure

3.1 Head Office

Head Office is the controlling authority of CAGI and is responsible for:

  • Institutional strategy and direction
  • Ownership of frameworks, standards, and methodologies
  • Governance design and enforcement
  • Accreditation and programme integrity
  • Chapter licensing, audit, and sanction
  • External representation and policy engagement

 

Head Office holds final authority on all CAGI outputs.

 

3.2 Steering Committee

The Steering Committee is a non-executive governance body responsible for:

  • Independent challenge of strategy and priorities
  • Oversight of institutional risk and credibility
  • Review of long-term technology and governance trajectories
  • Escalation of material governance or integrity concerns

 

The Steering Committee does not manage operations and does not represent sponsors or members.

 

3.3 Advisory Board

The Advisory Board exists to:

  • Provide strategic insight and external perspective
  • Support the executive team
  • Enhance credibility and reach

 

The Advisory Board has no governance, oversight, or decision authority.

 

3.4 Chapters

National and regional chapters:

  • Operate under binding CAGI bylaws
  • Deliver HQ-approved frameworks and programmes locally
  • Are prohibited from issuing independent standards or policy positions
  • Are subject to audit, review, and enforcement by Head Office

 

  1. Sponsors and Members

Sponsors and members:

  • May participate in working groups, pilots, and consultations
  • May contribute evidence, insight, and practical experience
  • Do not control governance outcomes, standards, or publications

 

Participation does not confer authority.

 

  1. Decision Making

Decisions are made:

  • Based on evidence and documented reasoning
  • With conflict of interest management applied
  • In alignment with CAGI’s purpose and principles

 

  1. Accountability and Review

CAGI governance arrangements are:

  • Reviewed periodically
  • Updated as required to address emerging risk
  • Subject to internal and external scrutiny where appropriate

 

  1. Amendments

This Charter may be amended only by Head Office, with input from the Steering Committee where material governance implications exist.
